Terms of Use
1. Acceptance
These Terms of Use ("Terms") govern your access to and use of any digital portal, online platform, shared workspace, marketing materials, documentation, or communication channel (collectively, "Programme Resources") operated by BanTech LLC (TL No. 1848589) and iGenTech for Information Technology L.L.C (CR No. 757-1570-68), acting together as The Company, in connection with the BanTech & iGenTech Partner Referral Network ("PRN").
By accessing or using any Programme Resource, you ("User") confirm that:
- You are a duly authorised representative of an admitted Referral Partner
- You have read, understood, and agree to be bound by these Terms in full
- You have the legal authority to bind your organisation to these Terms
UNIFIED COMPANY NOTE: BanTech LLC and iGenTech for Information Technology L.L.C together constitute The Company for all purposes of these Terms. Programme Resources may be operated by either entity. Your obligations under these Terms apply regardless of which entity within The Company operates the specific resource you are accessing.
If you do not agree to these Terms, you must immediately cease access to all Programme Resources and notify The Company in writing at partnership@bantech.ae or partnership@igentech.co.
2. Permitted Use
Programme Resources are made available exclusively for the following purposes:
- Submitting, tracking, and managing Referrals under your active Referral Partner Agreement (PRN-RPA-001)
- Accessing and downloading The Company's approved marketing materials for the specific purpose of making Referrals to prospects
- Reviewing Commission Statements, payment records, and pipeline status updates
- Communicating with your assigned account contact within The Company
- Accessing programme updates, tier information, onboarding documentation, and compliance guidance
- Completing required compliance training or onboarding steps as directed by The Company
3. Prohibited Conduct
Users must not use Programme Resources in any of the following ways:
- For any purpose other than those expressly listed in Section 2
- Sharing access credentials, login details, or downloaded Programme materials with any unauthorised individual or organisation
- Modifying, reproducing, publishing, or distributing any Programme material without prior written approval from The Company
- Promoting any service, product, or organisation that competes with The Company, or engaging in any activity that conflicts with the Referral Partner Agreement
- Attempting to gain unauthorised access to any system, database, account, or information connected to The Company or the PRN
- Introducing malware, viruses, ransomware, spyware, or any malicious code into any Programme system or channel
- Engaging in harassment, fraud, deception, impersonation, or any unlawful activity through Programme Resources
- Systematically scraping, extracting, or commercially exploiting any data or content from Programme systems
- Using The Company's brand assets, SaaS product names, logos, or trademarks beyond the express permissions granted in the Referral Partner Agreement
- Making any public statement, press release, or social media post referencing The Company, its products, or the PRN without prior written approval
- Using Programme Resources to solicit clients or prospects for any party other than The Company
4. Intellectual Property
4.1 Ownership
All content available through Programme Resources, including service and SaaS product descriptions (Ticketing System, AI Chatbot, KYC & KYB Platform, Payment Infrastructure), marketing materials, commission tables, documentation, training content, and any software, is the exclusive property of The Company and is protected by copyright, trademark, and applicable intellectual property laws.
4.2 Limited Licence
The Company grants Users a limited, non-exclusive, non-transferable, revocable licence to access and use Programme materials solely for the permitted purposes in Section 2. This licence does not include the right to sublicence, sell, transfer, adapt, modify, or create derivative works. All use outside this express scope is prohibited and may result in immediate access termination.
4.3 User-Submitted Content
Where Users submit content through Programme channels (including referral submissions, feedback, or communications), Users grant The Company a non-exclusive, royalty-free, worldwide licence to use such content for PRN administration purposes. Users warrant that submitted content does not infringe any third-party rights and does not contain unlawful, misleading, or inaccurate information.
5. Confidentiality
All information accessed through Programme Resources, including commission structures, tier criteria, Partner identities, pipeline data, pricing, SaaS product roadmaps, and operational information, constitutes Confidential Information. Users agree to:
- Do not disclose any Confidential Information to any third party without prior written consent from The Company
- Use Confidential Information solely for the permitted purposes in Section 2
- Immediately notify The Company upon becoming aware of any actual or suspected unauthorises disclosure or access
- Return or destroy all Confidential Information upon expiry or termination of the Referral Partner Agreement
Confidentiality obligations apply during the term of the Referral Partner Agreement and for 5 years thereafter.
6. Availability & Maintenance
The Company does not guarantee uninterrupted or error-free availability of any Programme Resource. The Company reserves the right to:
- Suspend, modify, or discontinue any Programme Resource at any time, with or without notice
- Perform scheduled or emergency maintenance that may temporarily restrict access
- Update, add, or remove features or content from Programme platforms without prior notice
The Company shall not be liable for any loss or inconvenience arising from the unavailability of Programme Resources, provided that The Company endeavours to restore access as promptly as reasonably practicable.
7. Third-party Links & Tools
Programme Resources may contain links to or integrations with third-party websites, platforms, or tools (including CRM systems, payment platforms, and communication tools). The Company is not responsible for the content, accuracy, privacy practices, security, or availability of any third-party resource. Access to and use of third-party platforms is governed by those platforms' own terms and privacy policies.
8. Disclaimer of Warranties
Programme Resources, materials, and content are provided on an "as is" and "as available" basis without warranty of any kind. To the fullest extent permitted by applicable law, The Company expressly disclaims all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement.
9. Limitation of liability
To the fullest extent permitted by applicable law, The Company's aggregate liability to any User arising from or in connection with these Terms or the use of Programme Resources shall not exceed USD 500 or the total Commission paid to the User in the 3 months preceding the event giving rise to liability, whichever is greater. In no event shall The Company be liable for indirect, incidental, consequential, special, or punitive damages, including loss of anticipated profits, business opportunity, data, or goodwill.
10. Indemnification
Users agree to indemnify, defend, and hold harmless The Company and its respective officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, penalties, fines, costs, and expenses (including reasonable legal fees) arising from: (a) breach of these Terms; (b) violation of applicable law or regulation; (c) content submitted through Programme channels; or (d) unauthorised use of Programme Resources.
11. Account Security
Where Programme Resources are accessed through a login-protected portal or system:
- Users are solely responsible for maintaining the confidentiality and security of their access credentials
- Users must immediately notify The Company upon discovering any suspected unauthorised access or security breach
- The Company reserves the right to suspend or terminate access without notice if a security concern is identified
- Users must not share login credentials with any other individual, including colleagues, unless expressly authorised in writing
- Users are responsible for all actions taken using their credentials, whether authorised or not
12. Suspension & Termination of Access
The Company reserves the right to suspend or permanently revoke a User's access to Programme Resources at any time, including where:
- The User's Referral Partner Agreement (PRN-RPA-001) expires, is terminated, or is suspended
- The User breaches any provision of these Terms or the Referral Partner Agreement
- The Company reasonably suspects misuse, fraudulent activity, or a security risk
- Regulatory or legal obligations require access to be restricted
Upon termination, the User must immediately cease all use of Programme Resources, return or destroy all downloaded materials, and confirm compliance in writing upon request.
13. Modifications to these Terms
The Company reserves the right to update these Terms at any time. Material changes will be communicated by email at least 15 calendar days before taking effect. The document reference and version number above reflect the current version. Continued use of Programme Resources after the effective date constitutes acceptance.
14. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute arising from these Terms is subject to the dispute resolution mechanism specified in the Referral Partner Agreement (PRN-RPA-001), or the exclusive jurisdiction of the courts of Dubai, UAE, where no arbitration clause applies.
